1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Boostup International PTY LTD ("we," "us," "our," or "Company"), a digital agency based in Brisbane, Australia. By engaging our services, you agree to be bound by these Terms.

2. Services

Boostup International provides digital agency services including but not limited to:

• Custom software development and SaaS solutions
• eCommerce platform development and management
• Digital marketing and advertising campaigns
• Website design and development
• SEO and content strategy services
• Brand development and strategy consultation

Specific service details, deliverables, timelines, and pricing will be outlined in separate service agreements or statements of work.

3. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Respond promptly to requests for feedback, approvals, or additional information
• Ensure you have the legal right to use all materials provided to us
• Make payments according to agreed-upon terms
• Respect intellectual property rights of third parties
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Payments are due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• Work may be suspended for overdue accounts
• All prices are in Australian Dollars (AUD) unless specified otherwise
• Refunds are subject to the specific terms of individual service agreements

5. Intellectual Property

Client Content: You retain ownership of all content, data, and materials you provide to us.

Deliverables: Upon full payment, you will own the final deliverables specifically created for your project, excluding our proprietary methodologies, frameworks, and pre-existing intellectual property.

Third-Party Materials: Any third-party software, plugins, or materials used in your project remain subject to their respective licenses.

6. Confidentiality

We will maintain confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.

7. Limitation of Liability

To the maximum extent permitted by Australian law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

8. Warranties and Disclaimers

We provide our services with professional skill and care. However, we make no warranties regarding specific results, performance metrics, or business outcomes. Digital marketing results, website performance, and user engagement cannot be guaranteed.

9. Termination

Either party may terminate services with 30 days written notice. Upon termination, you will pay for all services completed up to the termination date. We will provide completed work and transfer relevant materials upon payment of outstanding invoices.

10. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, or government regulations.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services constitutes acceptance of modified Terms.
